Terms of Service
These Terms of Service govern your access to and use of AzuriConnect, AzuriManage, and AzuriCare.

1. Acceptance of Terms
Welcome to AzuriConnect! These Terms of Service ("Terms") govern your access to and use of azuriconnect.com, our mobile applications for iOS and Android, and related services (collectively, the "Service"). The Service is operated by Azuri Connect LLC ("AzuriConnect," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.
2. Definitions
- "You," "User": Any individual or organization using the Service
- "Organization": An Adult Family Home provider, home care agency, or healthcare facility using the Service to post shifts
- "Caregiver": A healthcare professional (CNA, HCA, NAR, etc.) using the Service to find and work shifts
- "Shift": A work assignment posted by an Organization
- "Content": Any text, images, data, or other materials submitted to the Service
- "Geo-fence": A virtual boundary defined by GPS coordinates for shift check-in/check-out verification
3. Eligibility
3.1 Age Requirement
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you are at least 18 years old.
3.2 Legal Capacity
You must have the legal capacity to enter into a binding contract. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
3.3 Geographic Limitations
The Service is currently available only in Washington State, USA. By using the Service, you represent that you are located in Washington State or are legally permitted to use the Service in your jurisdiction.
4. Account Registration
4.1 Account Creation
To use certain features of the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities that occur under your account
4.2 Account Types
Organizations:
- Must provide valid business information (business name, address, license number)
- Must verify ownership of Adult Family Home or healthcare facility
- Must comply with all applicable state and federal regulations
Caregivers:
- Must provide valid credentials (CNA, HCA, NAR, etc.)
- Must consent to identity verification (including facial recognition via AWS Rekognition)
- Must maintain current licenses and certifications
- Must accurately represent qualifications and experience
- May be required to upload government-issued ID
4.3 Identity Verification
As part of our commitment to platform safety, we use facial recognition technology (AWS Rekognition) to verify the identity of caregivers. By creating an account, you consent to:
- Photo capture for facial comparison
- Processing of your photo using AWS Rekognition
- Storage of verification data
You may withdraw consent for facial recognition by contacting legal@azuriconnect.com, but this may limit your ability to use certain platform features.
4.4 Account Suspension or Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for:
- Violation of these Terms
- Fraudulent, abusive, or illegal activity
- Providing false or misleading information
- Failure to pay fees owed
- Excessive no-shows or policy violations (for caregivers)
- Abuse of caregivers or poor treatment (for organizations)
5. Subscriptions and Payments
5.1 Subscription Plans
Organizations must subscribe to a paid plan to use the Service. Please refer to our current pricing page for plan details.
Caregivers: The Service is free for caregivers to find and work shifts.
5.2 Billing
- Subscription fees are billed monthly in advance via Stripe
- Shift fees are billed monthly in arrears (charged only for completed shifts)
- Fees are non-refundable except as required by law
- Prices may change with 30 days' notice
- You authorize us to charge your payment method on file
5.3 Payment Processing
Payments are processed securely through Stripe. We do not store full credit card numbers. By providing payment information, you authorize Stripe to charge your payment method according to your subscription plan.
5.4 Platform Credit
Organizations may purchase platform credit to pay for shifts. Unused credit does not expire but is non-refundable. Credit may be subject to minimum balance requirements.
5.5 Late Payment
- We will attempt to charge your payment method up to 3 times
- Your account may be suspended after 7 days of non-payment
- Your account may be terminated after 30 days of non-payment
- You remain responsible for all fees incurred before termination
5.6 Cancellation
You may cancel your subscription at any time:
- Cancellation takes effect at the end of the current billing period
- No refunds for partial months
- You retain access to the Service until the end of the paid period
- All data will be retained for 90 days after cancellation, then deleted
6. Service Features and Functionality
6.1 Shift Management
Geo-fencing:
- Caregivers must check in to shifts within the designated geo-fence using GPS location
- Check-in must occur within 30 minutes of shift start time
- Check-out must occur within 30 minutes of shift end time
- Location data is collected and stored for compliance purposes
Shift Posting (Organizations):
- Post shifts with details (date, time, role, pay, requirements)
- Set geo-fence boundaries for each facility
- Review and approve/reject caregiver applications
- Track shift assignments and completions
- Communicate with caregivers through the platform
Shift Applications (Caregivers):
- Browse and apply for open shifts within your qualifications
- View geo-fence boundaries before applying
- Check in/out using the mobile app with GPS verification
- Receive payments for completed shifts
- Review facilities
6.2 Identity Verification
We use AWS Rekognition facial recognition to:
- Verify caregiver identity during registration
- Match caregiver photos to government-issued IDs
- Prevent fraudulent accounts
Caregivers consent to this verification by creating an account.
6.3 In-App Messaging
Organizations and caregivers may communicate through our secure in-app messaging system. Messages are stored on our servers and may be reviewed for compliance and safety purposes.
6.4 Calendar Sync (When Implemented)
Users may sync their device calendar with the Service to:
- View scheduled shifts
- Receive calendar notifications
- Avoid double-booking
Calendar sync is optional and subject to separate permissions.
6.5 AI-Powered Matching (When Implemented)
We may use AI to:
- Recommend shifts based on your profile and history
- Match caregivers with organizations based on preferences
- Predict shift availability
AI recommendations are not guaranteed and you retain full control over shift selection.
7. User Conduct and Prohibited Activities
7.1 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms.
You agree NOT to:
General Prohibitions:
- Violate any applicable laws or regulations
- Infringe intellectual property rights
- Transmit viruses, malware, or harmful code
- Attempt to gain unauthorized access to the Service
- Interfere with or disrupt the Service
- Use automated scripts (bots) without our permission
- Impersonate another person or organization
Location/GPS Prohibitions:
- Fake or spoof GPS location data
- Check in from outside the geo-fence
- Use VPNs or location spoofing tools
- Attempt to bypass geo-fence verification
Content Prohibitions:
- Post false, misleading, or fraudulent information
- Post defamatory, obscene, or offensive content
- Post content that violates privacy or confidentiality
- Post spam, advertisements, or solicitations
Platform-Specific Prohibitions:
- Pay or accept payment outside the platform to avoid fees
- Post or accept shifts outside Washington State
- Discriminate based on race, religion, sex, age, disability, or other protected characteristics
- Retaliate against users who leave negative reviews
- Attempt to reverse engineer our facial recognition or AI systems
7.2 GPS/Location Manipulation
GPS manipulation is strictly prohibited. If you:
- Use location spoofing apps or tools
- Check in from a location outside the geo-fence
- Use VPNs to mask your location
Consequences:
- Immediate account suspension
- Forfeiture of any pending payments
- Permanent termination for repeated violations
- Referral to law enforcement if fraudulent activity is suspected
7.3 No-Show Policy (Caregivers)
What is a No-Show?
A no-show occurs when you:
- Fail to check in to a confirmed shift within 30 minutes of start time
- Cancel a shift with less than 24 hours' notice (without emergency circumstances)
- Check in outside the designated geo-fence (as applicable)
Consequences:
- 1st no-show: Warning
- 2nd no-show: 7-day suspension
- 3rd no-show: Permanent account termination
Legitimate Exceptions:
- Medical emergency (documentation required)
- Family emergency (documentation may be required)
- Vehicle breakdown (documentation required)
- Severe weather making travel unsafe
- Geo-fence technical issues (reported immediately)
7.4 Cancellation Policy (Organizations)
You may cancel a shift:
- More than 24 hours before start time: No penalty
- Less than 24 hours before start time: Cancellation fee applies
Caregiver Compensation for Late Cancellations:
- <24 hours notice: Caregiver receives 2 hours' pay
- <2 hours notice: Caregiver receives 4 hours' pay
8. Background Checks and Verification
8.1 Identity Verification
As a condition of using the Service, all caregivers consent to identity verification including:
- Photo capture for facial recognition
- Comparison with government-issued ID
- Verification using AWS Rekognition
8.2 Background Checks (When Implemented)
When background check services are implemented, you consent to:
- Criminal background check
- Sex offender registry check
- Employment verification
- Credential verification (CNA, HCA, NAR licenses)
Background checks will be conducted by third-party providers. You will receive separate notice and consent before any background check is performed.
8.3 What We Check
Disqualifying Offenses:
- Crimes against vulnerable adults or children
- Violent crimes
- Theft or fraud
- Drug trafficking
- Sex crimes
8.4 Dispute Process
If you believe your verification or background check contains errors:
- Contact us at legal@azuriconnect.com
- We will investigate and request correction if applicable
- We will notify you of the outcome within 30 days
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including all content, features, functionality, software, code, design, and trademarks, is owned by AzuriConnect and is protected by copyright, trademark, and other intellectual property laws.
You may not:
- Copy, modify, or distribute our content without permission
- Reverse engineer or decompile the Service
- Remove or alter copyright notices
- Use our trademarks without written permission
- Attempt to reverse engineer our AI or facial recognition systems
9.2 Your Content
You retain ownership of content you submit to the Service. However, by submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content for the purpose of operating and improving the Service.
You represent and warrant that:
- You own or have rights to all content you submit
- Your content does not violate any third-party rights
- Your content does not violate any laws
10. Third-Party Services
The Service integrates with third-party services:
- Stripe: Payment processing
- Resend: Email delivery
- AWS: Hosting, storage, AI services
- Mapbox: Location services and geo-fencing
Your use of these services is subject to their respective terms and privacy policies.
11. Limitation of Liability
11.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.
We do not warrant that:
- The Service will be uninterrupted or error-free
- Geo-fencing will be 100% accurate
- AI recommendations will meet your expectations
- Results from facial recognition will be 100% accurate
11.2 No Liability for User Actions
WE ARE NOT RESPONSIBLE FOR:
- The conduct of organizations or caregivers on the platform
- No-shows, cancellations, or disputes between users
- Quality of care provided by caregivers
- Accuracy of user-submitted information
- Injuries, damages, or losses arising from shifts
- Employment disputes (we are a platform, not an employer)
- GPS or geo-fence inaccuracies
11.3 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.
12. Indemnification
You agree to indemnify, defend, and hold harmless AzuriConnect from any claims arising from:
- Your violation of these Terms
- Your violation of any law or regulation
- Your violation of any third-party rights
- Your use of the Service
- GPS manipulation or location spoofing
- Fraudulent verification
13. Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Washington.
13.2 Arbitration Agreement
Any dispute shall be resolved through binding arbitration, except for small claims court cases (under $5,000) and intellectual property disputes.
Class Action Waiver: You agree to resolve disputes individually, not as part of a class action.
13.3 Opt-Out
You may opt out of arbitration by sending written notice to legal@azuriconnect.com within 30 days of first using the Service.
